Purpose and scope
These terms (the “B2B SaaS Terms”) govern the provision of the OPERIANCE service by BELOCAL SAS to a client organisation acting for professional purposes.
- OPERIANCE is intended exclusively for professionals.
- The service is not intended for consumer use.
- The signatory warrants that they have the authority to bind their organisation.
Contractual structure
In the event of conflict, the following order of priority applies:
- 1. Signed quotation, purchase order, Order Form or specific conditions
- 2. Applicable DPA for data protection matters
- 3. Any specifically agreed SLA
- 4. These B2B SaaS Terms
- 5. Terms of use
Client purchasing conditions or other client documents only apply if expressly accepted in writing by BELOCAL.
Plans and features
OPERIANCE operates with different plans and activatable features. The features available to an organisation depend in particular on the plan subscribed, any agreed options, the rights granted and the applicable specific conditions or purchase order.
BELOCAL may change the organisation, interface or presentation of features without this constituting a substantial contractual change, provided the essential subscribed obligations are maintained.
Pricing
The applicable prices are those set out in the plan subscribed, the quotation, the purchase order, the Order Form or the applicable specific conditions.
Prices are stated excluding taxes unless otherwise indicated; applicable taxes are added in accordance with regulations.
Prices may change for future periods, with reasonable prior information and application at renewal, unless otherwise agreed.
Billing and payment
- Specific conditions or the Order Form prevail.
- Failing that, payment is due 30 days from the invoice date.
- Electronic invoices are permitted.
- No set-off or unilateral withholding is permitted, except where legally required or agreed in writing.
- Any invoice dispute must be notified within a reasonable time; undisputed amounts remain due.
In the event of late payment, late payment interest is due in accordance with applicable French regulations governing business-to-business relationships, together with the statutory fixed indemnity for recovery costs, without prejudice to justified additional costs where the law permits.
Term and renewal
The term stated in the quotation, Order Form or specific conditions prevails. Failing a specific term, the subscription is monthly and renews tacitly for successive monthly periods.
A specific offer may provide for a fixed term, an annual commitment, or specific renewal or notice arrangements.
Termination and suspension
- Termination conditions set out in the offer or Order Form apply where they exist.
- Either party may terminate for material breach after notice, where the situation allows.
- BELOCAL may suspend or terminate immediately in the event of fraud, unlawful use, a serious security threat or a serious breach.
- Amounts already due remain payable.
- Effects on data are governed by the retention rules, the DPA and applicable legal obligations.
Suspension may also occur in the event of non-payment, attempts to circumvent security mechanisms, risk to the platform or data, legal obligation, or excessive or abnormal use impairing the service.
Accounts, users and client data
- The client is responsible for the users it authorises and for protecting credentials.
- The client remains responsible for the data it provides and warrants that it holds the necessary rights and legal bases.
- The client complies with its obligations to inform data subjects.
- The client transmits only the information necessary for its use of the service.
BELOCAL does not legally validate the lawfulness of each item of data transmitted by the client.
Artificial intelligence and deliverables
- Automated systems and AI models are assistance tools.
- Outputs may contain errors, omissions or incorrect interpretations and never constitute a certification.
- Important information must be verified before external use or a significant decision.
- OPERIANCE guarantees no hiring, submission, application, tender or assignment outcome.
- Final decisions remain with the client and its users.
Enrich the information. Never invent it.
Availability, maintenance and changes
BELOCAL is bound by a best-efforts obligation and makes reasonable efforts to keep the service accessible. Planned or emergency maintenance and temporary interruptions may occur. No SLA, availability rate, RPO or RTO is guaranteed, unless specifically committed in writing.
BELOCAL may fix defects, improve the service, modify the interface, evolve features, apply security changes, replace technical components and carry out necessary maintenance. Stable technical updates may be deployed without prior technical validation by each client.
Such changes may not result in the arbitrary removal of an essential obligation already subscribed for a paid period.
Third-party services, integrations and API
Some features may depend on third-party services (infrastructure, artificial intelligence, email delivery, APIs, services integrated by the client).
- BELOCAL does not fully control the availability of third-party services.
- Interruptions or changes by a third party may affect certain features.
- BELOCAL may replace a technical provider where reasonably necessary.
- The client remains responsible for the third-party systems it chooses to connect and for its own information system.
- Credentials, tokens or keys provided to the client must be protected; API access may be revoked in the event of abuse or risk.
- Integrations may evolve and third-party APIs may change independently of OPERIANCE.
- The client authorises the data exchanges it configures.
Intellectual property
BELOCAL retains the rights relating to OPERIANCE: software, code, architecture, interfaces, design, documentation, methodologies, brand, features, generic components and know-how. The client retains its rights in the data it provides.
The client receives a reasonable right to use generated deliverables for its business purposes.
The following are prohibited, to the extent permitted by applicable law: unauthorised copying, mass extraction, reverse engineering beyond what the law permits, technical circumvention, unauthorised resale and substantial reproduction aimed at creating a competing service.
Confidentiality
Each party undertakes to keep confidential the information received from the other party and to use it solely for the performance of the contract.
Excluded is information that is already public without breach, already lawfully known, lawfully received from a third party, independently developed, or whose disclosure is required by law or a competent authority.
Personal data and DPA
For data processed on behalf of the client as part of its business processes, the client generally determines the business purposes and BELOCAL acts as processor, within the scope defined by the applicable DPA.
For its own processing activities (commercial relationship, account management, billing, security, abuse prevention, legal obligations), BELOCAL may act as controller.
The DPA supplements these terms where BELOCAL acts as processor; it does not replace them and prevails for data protection matters.
Reversibility and export
- Export mechanisms may be offered depending on available features and rights.
- The client remains responsible for retaining its own source documents where necessary.
- OPERIANCE is not a legal archiving service, unless specifically agreed.
- After the end of the relationship, data is handled according to the contract, the DPA, retention rules and legal obligations.
Liability
To the extent permitted by applicable law, indirect or consequential damages are excluded, in particular:
- Loss of revenue, margin or profit
- Loss of opportunity or customers
- Indirect commercial loss
- Indirect reputational harm
- Anticipated savings not realised
Unless mandatory rules provide otherwise, BELOCAL's total aggregate liability, on all grounds combined, is limited to the amount excluding taxes actually paid by the client for the service concerned during the twelve months preceding the triggering event. Where the contract has been in place for less than twelve months, the amounts actually paid since its start are used.
BELOCAL does not seek to exclude any liability that the law prohibits from being excluded or limited. The client takes reasonable steps to mitigate its loss.
Force majeure
Neither party is liable for a failure resulting from a force majeure event within the meaning of French law and applicable case law. Affected obligations are suspended for the duration of the event.
If the impediment becomes permanent or lasts excessively, the contract may be terminated in accordance with applicable rules.
Changes to the terms and transfer of the business
These terms may evolve, in particular where the service, regulations, technology, commercial context or security requirements change. Substantial changes applying to a future period are subject to reasonable prior information; urgent changes required by law or necessary for security may be applied more quickly.
To the extent permitted by applicable law, BELOCAL may transfer the rights and obligations relating to the OPERIANCE service to an affiliate, a successor company, a company taking over the OPERIANCE business, or an entity resulting from a merger, restructuring, contribution, disposal or similar transaction. The client will be informed where required.
The client may not assign its contract without BELOCAL's prior written consent, unless otherwise agreed.
Governing law and jurisdiction
These terms are governed by French law. The parties will first seek an amicable resolution of any dispute.
FAILING AN AMICABLE SETTLEMENT, AND WHERE ALL PARTIES ACT AS MERCHANTS, ANY DISPUTE SHALL FALL WITHIN THE EXCLUSIVE JURISDICTION OF THE COMMERCIAL COURT OF PARIS (TRIBUNAL DE COMMERCE DE PARIS), SUBJECT TO APPLICABLE MANDATORY RULES.
