Terms of use

These terms of use (the “Terms”) govern access to and use of the operiance.com website and the OPERIANCE service, published by BELOCAL SAS.

Accessing the website or using the service constitutes acceptance of these Terms.

• OPERIANCE is intended exclusively for professionals.
• The service is not intended for consumer use.
• Anyone subscribing on behalf of an organisation warrants that they have the authority to bind it.
• Users access OPERIANCE in the course of their professional activity.

In the event of conflict, the following order of priority applies:

• 1. Signed quotation, purchase order, Order Form or specific conditions
• 2. Applicable DPA for data protection matters
• 3. Any specifically agreed SLA
• 4. B2B SaaS Terms
• 5. These terms of use

Client purchasing conditions or other client documents only apply if expressly accepted in writing by BELOCAL.

• The client is responsible for the users it authorises.
• Each user must protect their credentials.
• Accounts remain personal unless a feature expressly provides otherwise.
• The client must report any known compromise promptly.
• Actions carried out with an account may be attributed to its holder or organisation, within applicable limits.

The following are prohibited, to the extent permitted by applicable law:

• Any unlawful or fraudulent use, or use infringing third-party rights
• Unauthorised mass or automated extraction of data or content
• Circumventing or attempting to circumvent security mechanisms
• Reverse engineering beyond what mandatory law permits
• Resale, unauthorised provision, or substantial reproduction aimed at creating a competing service
• Any excessive or abnormal use impairing the operation of the service

• The client remains responsible for the data it provides.
• It warrants that it holds the necessary rights and legal bases.
• It is responsible for the lawfulness of imported CVs, profiles, assignments and documents.
• It transmits only the information necessary for its use of the service.
• It complies with its own obligations to inform data subjects.
• It does not import manifestly unlawful or unnecessary data.

BELOCAL does not legally validate the lawfulness of each item of data transmitted by the client.

• OPERIANCE uses automated systems and artificial intelligence models as assistance tools.
• They analyse, structure, match and enrich information.
• Outputs may contain errors, omissions, approximations or incorrect interpretations.
• No output constitutes a certification, and no absolute accuracy or completeness is guaranteed.
• Important information must be verified before any external use or significant decision.
• Information missing from a CV may be flagged as requiring confirmation, and must never be treated as established.
• OPERIANCE is a decision-support tool; final decisions remain with the client and its users.

Enrich the information. Never invent it.

Scores, recommendations, analyses, matching tables, skills dossiers, summaries and generated documents are support tools that depend on the information available.

A score is not a certification, does not guarantee a skill, and does not guarantee any commercial or HR outcome. The client verifies essential elements before any external distribution.

OPERIANCE does not guarantee that a candidate will be hired, that a consultant will be selected, that a profile will be accepted, that an application will succeed, that a tender will be won or that an assignment will be secured.

The client remains responsible for its hiring and submission decisions, compliance with non-discrimination rules and employment regulations, its HR processes and its commercial decisions.

BELOCAL is bound by a best-efforts obligation and makes reasonable efforts to keep the service accessible. Planned or emergency maintenance and temporary interruptions may occur.

No availability rate, RPO or RTO is guaranteed, unless specifically committed in writing.

The service may evolve: fixes, improvements, interface changes, functional changes, security changes or replacement of technical components.

BELOCAL retains all rights relating to OPERIANCE: software, code, architecture, interfaces, design, documentation, methodologies, brand, features, generic components and know-how.

The client retains its rights in the data it provides and receives a reasonable right to use generated deliverables for its business purposes.

BELOCAL may suspend all or part of the service, in particular in the event of non-payment, fraudulent or unlawful use, serious breach of the terms, attempts to circumvent security mechanisms, risk to the platform, data or other users, legal obligation, or excessive use impairing the service.

In urgent security or legal situations, suspension may be immediate.

To the extent permitted by applicable law, indirect or consequential damages are excluded, in particular loss of revenue, margin, profit, opportunity or customers, indirect reputational harm and anticipated savings not realised.

Unless mandatory rules provide otherwise, BELOCAL's liability arising from use of the service is limited as set out in the B2B SaaS Terms.

BELOCAL does not seek to exclude any liability that the law prohibits from being excluded or limited. The client takes reasonable steps to mitigate its loss.

These Terms may evolve, in particular where the service, regulations, technology, commercial context or security requirements change. Substantial changes applying to a future period are subject to reasonable prior information; urgent changes required by law or necessary for security may be applied more quickly.

These Terms are governed by French law. The parties will first seek an amicable resolution of any dispute.

FAILING AN AMICABLE SETTLEMENT, AND WHERE ALL PARTIES ACT AS MERCHANTS, ANY DISPUTE SHALL FALL WITHIN THE EXCLUSIVE JURISDICTION OF THE COMMERCIAL COURT OF PARIS (TRIBUNAL DE COMMERCE DE PARIS), SUBJECT TO APPLICABLE MANDATORY RULES.
